1. Introduction

Welcome to the website of Obzidian Oil Ltd (“we”, “our”, “us”). These Terms & Conditions (“Terms”) govern your access to and use of this website and any services offered through it. By using the website you agree to these Terms. If you do not accept them, please do not use or access our site.

2. Definitions

  • “Customer”, “you”, “your”: any individual or entity accessing the website, requesting information or placing an order.
  • “Services” or “Products”: the oil & gas goods, equipment, logistics, or consultancy services offered through the site.
  • “Personal Data” / “Personal Information”: information relating to an identifiable person as defined under the Nigeria Data Protection Act, 2023.

3. Use of the Website

3.1 You must use the website lawfully and not for any fraudulent, abusive or unlawful purpose.
3.2 You must not upload or transmit malware, spam or content that infringes others’ rights.

4. Registration, Account Security and Eligibility

4.1 Where account registration is required, you agree to provide accurate, up-to-date information and keep login credentials secure. You are responsible for all activity on accounts registered in your name.
4.2 You represent that you are legally capable of entering into binding contracts in Nigeria.

5. Services, Orders and Contract Formation

5.1 Product or service descriptions and prices on the website are an invitation to treat. A binding contract forms only when we accept your offer (for example by confirming your order in writing or issuing an invoice).
5.2 We reserve the right to refuse or cancel any order for reasons including (but not limited to) product unavailability, errors in pricing, failure to provide required documentation, credit checks, or non-compliance with applicable Nigerian law (including the Petroleum Industry Act). Relevant regulatory approvals may be required for certain transactions.

6. Pricing, Payment and Taxes

6.1 Prices shown exclude applicable taxes, levies and shipping, unless otherwise stated. You are responsible for any applicable taxes, duties or fees.
6.2 Payment terms will be specified in the order acknowledgement. We may require deposits, letters of credit or other payment guarantees for large or international supply contracts.
6.3 Late payments may attract interest and administrative charges as permitted by Nigerian law.

7. Delivery, Risk and Title

7.1 Delivery times are estimates only. We are not liable for delays caused by circumstances beyond our control (force majeure, regulatory delays, port congestion, customs clearance, etc.).
7.2 Risk of loss or damage to goods passes to you on delivery or as otherwise set out in the contract. Title (ownership) may remain with us until full payment is received.

8. Warranties and Disclaimers

8.1 We supply Products and Services with reasonable skill and care in accordance with industry standards. Specific warranties (if any) will be set out in the order/contract.
8.2 Except where expressly stated and to the extent permitted by law, all implied warranties (including merchantability and fitness for a particular purpose) are excluded.

9. Limitation of Liability

9.1 To the greatest extent permitted by law, our total aggregate liability for any loss or damage arising out of or in connection with these Terms or the supply of Products/Services shall be limited to the total fees paid under the relevant contract.
9.2 We shall not be liable for indirect, special or consequential losses (including loss of profit, business interruption or loss of goodwill), except to the extent that Nigerian law does not permit such exclusion.

10. Indemnity

You indemnify and hold us harmless from any claims, liabilities, losses or expenses (including legal fees) arising from (a) your breach of these Terms; (b) your negligent or unlawful use of Products/Services; or (c) third-party claims arising from content you upload.

11. Intellectual Property

All website content, trademarks, logos, graphics, and materials are our property or licensed to us. You may view and print content for non-commercial personal use only. Any other use requires our prior written consent.

12. Data Protection & Privacy

12.1 We process Personal Data in accordance with applicable Nigerian data protection law, including the Nigeria Data Protection Act, 2023 (NDPA), and guidance from the Nigeria Data Protection Commission (NDPC). The NDPA establishes data subject rights (e.g. access, rectification, erasure, objection) and obligations on controllers and processors.
12.2 Our Privacy Policy (linked on the website) explains what Personal Data we collect, lawful bases for processing, retention periods, your rights under the NDPA, and how to exercise them. We will implement technical and organisational measures to protect Personal Data against unauthorized or unlawful processing, accidental loss, disclosure or destruction.
12.3 Where we transfer Personal Data outside Nigeria, we will do so only on lawful grounds and with appropriate safeguards as required by the NDPA.

13. Compliance with Applicable Laws & Regulations

13.1 You acknowledge that our operations and the supply of certain oil & gas services are subject to industry regulation, including the Petroleum Industry Act, 2021 (PIA) and applicable regulations administered by agencies such as the Nigerian Upstream Petroleum Regulatory Commission (NUPRC) and other competent authorities. Contracts may require compliance with licensing, local content and host-community obligations under the PIA.
13.2 Our corporate structure and relationships are governed by the Companies and Allied Matters Act (CAMA) and related corporate laws; corporate disclosures and filings will be made as required.
13.3 You must not use our services for any activity that would breach Nigerian law, export controls, sanctions, anti-bribery or anti-money laundering requirements.

14. Force Majeure

We are not liable for failure or delay in performing obligations caused by events beyond our reasonable control (including strikes, natural disasters, acts of government, war, cyber incidents, supply chain disruption or embargoes). In such event we will notify you and take reasonable steps to mitigate.

15. Termination

Either party may terminate a contract in accordance with its terms. We may suspend or cancel access to the website or services if you breach these Terms, for non-payment, or where required by law or regulatory order.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the website or by email. Continued use of the website after changes indicates acceptance.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be subject to the exclusive jurisdiction of the Nigerian courts, unless otherwise agreed in a signed supply contract.

18. Severability

If any provision is found invalid or unenforceable, the remainder of the Terms shall remain in effect to the fullest extent permitted by law.
